Talis Group’s client is a fast-growing financial planning and investment firm with a national presence and a notable media profile that attracts high-asset clients. This family-friendly firm is based in Louisville’s East End and offers a collaborative and supportive work environment. They are seeking a Corporate Attorney to oversee all legal matters across multiple states. The position is primarily on-site with a hybrid option. The role includes a competitive salary $110,000 – $125,000 along with performance bonuses averaging 10-20%, and a comprehensive benefits package.
Highlighted Duties:
Provide counsel on a wide range of corporate issues, including contracts, compliance, employment, business entity, regulatory etc.
Oversee the legal aspects of managing the company’s holdings, subsidiaries, and equity structures.
Draft, negotiate, and review agreements, with employees, vendors, strategic partners, and other parties to support all operations
Resolve disputes over terms and conditions, non-payment, or breach of contract
Provide legal advice on mergers, acquisitions, divestitures, joint ventures, and capital raises
Advise company on compliance issues and internal compliance reviews
Oversee all trust planning activities, ensuring transaction accuracy and compliance
Monitor Financial Advisors’ compliance with credit hour requirements and attestation
Review and/or develop processes, procedures and training programs, and provide guidance to ensure compliance across all facets of the business.
Collaborate with internal stakeholders to identify business objectives and negotiate favorable terms while effectively managing legal risks.
Work closely with internal teams, external legal counsel, and third-party vendors to achieve business objectives while ensuring legal compliance.
Monitor and analyze changes in laws and regulations that affect the company’s operations.
Participate in strategic planning sessions and contribute to decision-making processes
Highlighted Requirements
Must have Juris Doctor degree.
Active membership in good standing with Kentucky Bar
Minimum of 5 years of relevant legal experience in corporate law.
Deep understanding of corporate governance, securities law, equity structures, and regulatory compliance.
Proven track record in negotiating complex transactions and managing multiple projects.
Exceptional analytical, negotiation, and drafting skills.
Strong interpersonal skills with the ability to communicate effectively with all levels of the organization
